Terms & Conditions

Please read these terms carefully before engaging Tunas Bina for any consulting service. By making a booking, signing a proposal, or corresponding with us to arrange a service, you confirm that you have read and agree to these terms.
1. Definitions
Throughout these terms, the following words carry the meanings given here:
- "We", "Us", "Our" — Tunas Bina, a business consulting firm registered in Malaysia and operating from 12, Lorong Maarof, Bangsar, 59000 Kuala Lumpur.
- "You", "Client", "User" — any individual or entity that engages us for services or accesses this website.
- "Service" — any consulting engagement offered by Tunas Bina, including the Starting Point Conversation, Operations Tidy-Up, and Year-Ahead Companion.
- "Agreement" — these Terms & Conditions, together with any written proposal, booking confirmation, or service scope agreed between both parties.
- "Content" — written summaries, process maps, planning documents, and any other material produced by us in the course of a Service.
- "Session" — a scheduled meeting, call, or written exchange forming part of a Service.
2. Acceptance of Terms
By booking a session, making payment, or responding to confirm an engagement with us, you enter into a binding agreement on these terms. You confirm that:
- you are at least 18 years of age or hold the legal capacity to enter agreements in Malaysia;
- where you act on behalf of a business, you have authority to bind that business;
- the information you provide to us is accurate and up to date.
If you do not agree with any part of these terms, you should not proceed with booking a service.
3. Service Description
Tunas Bina provides independent business consulting services for small business owners in Malaysia. Our current service offerings are:
- Starting Point Conversation (RM 330) — a single ninety-minute session with a follow-up written summary, suited to owners seeking a calm, structured first look at their business.
- Operations Tidy-Up (RM 760) — a four-week engagement covering day-to-day process review, a process map, a short list of practical adjustments, and one review session.
- Year-Ahead Companion (RM 1,490 per year) — a twelve-month engagement with quarterly planning meetings, written summaries after each meeting, and support via email between sessions.
Services are available to clients located in Malaysia. We may accommodate clients outside Malaysia by prior agreement, though jurisdiction and practical arrangements will be discussed in advance.
Session formats (in person or video call) will be agreed at the time of booking and confirmed in writing.
4. User Responsibilities
To allow us to work effectively with you, you agree to:
- attend sessions punctually or give at least 48 hours' notice if you need to reschedule;
- provide accurate and honest information about your business when asked;
- respond to reasonable requests for documents or context in a timely manner;
- use our Content for your own lawful business purposes only;
- not share, publish, or distribute written materials we produce without our written consent;
- treat all correspondence with us professionally and respectfully.
You must not use our services to plan or carry out any activity that is unlawful under Malaysian law or that would cause harm to others.
5. Intellectual Property
All frameworks, methodologies, templates, and original materials we bring to an engagement remain our intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use the written outputs we create specifically for your engagement, for your own internal business purposes.
You may not reproduce, adapt, or distribute our materials for commercial purposes, train software on them, or pass them off as your own original work.
Any information, data, or documents you share with us remain your property. We will not use them for any purpose beyond delivering your service.
6. Payment Terms
Fees and Currency
All fees are quoted and payable in Malaysian Ringgit (RM). Current prices are as listed on our website. Fees may be revised from time to time; any revision will not affect bookings already confirmed.
Payment Methods
We accept bank transfer (DuitNow, IBG) and other payment methods confirmed at the time of booking. Payment details will be provided in the booking confirmation.
Timing
- Starting Point Conversation: full payment required before the session date.
- Operations Tidy-Up: full payment before commencement, or 50% deposit with balance due by week two — to be agreed at booking.
- Year-Ahead Companion: annual fee payable in full at the start of the engagement, or quarterly instalments by prior arrangement.
Refund Policy
If you cancel more than 5 working days before your scheduled session, we will refund the full amount paid. Cancellations made with 2–5 working days' notice will receive a 50% refund. Cancellations made with fewer than 2 working days' notice are not eligible for a refund, though we may offer to reschedule at our discretion. Refunds are processed within 10 working days of the cancellation request.
7. Consulting-Specific Terms
Scope of Work
The scope of each engagement will be outlined in the booking confirmation or a short written proposal. If you need work beyond the agreed scope, this may be discussed and priced separately.
Timelines
We will make reasonable effort to meet any timelines agreed at the outset. Delays caused by late provision of information from your side may affect delivery dates, and we will let you know if this is the case.
Nature of Advice
Our work is advisory in nature. We provide observations, suggestions, and a structured space to think through your business. We do not make decisions on your behalf. Outcomes depend on many factors outside our control, including your implementation choices and market conditions.
8. Confidentiality
We treat all client information as confidential. We will not share details of your business situation, financials, or plans with any third party, except where required by law or with your explicit consent.
We may refer to working with clients in general terms (for example, on our website or in conversations with prospective clients), but we will not identify you or your business by name without your permission.
We may occasionally use trusted professional partners (for example, for scheduling or document management). Any such partner will be bound by confidentiality obligations at least as strong as those in these terms.
9. Disclaimers
Our services are provided in good faith and to the best of our professional ability. However:
- We do not offer legal, tax, accounting, or regulated financial advice. Where those areas arise, we will indicate that you should seek specialist advice.
- We make no representations about specific business outcomes, revenue growth, cost reductions, or profitability. Business results depend on decisions and circumstances that are ultimately in your hands.
- Our website and any written materials are provided for information purposes. We are not liable for decisions taken based on general content on our website that was not part of a paid, agreed engagement.
10. Limitation of Liability
To the extent permitted by Malaysian law, our total liability to you arising from any engagement shall not exceed the total fees paid by you for that engagement.
We shall not be liable for indirect, consequential, or incidental losses, including but not limited to lost revenue, lost profit, loss of business opportunity, or damage to reputation, whether or not we had been advised of the possibility of such losses.
Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot lawfully be excluded.
Events beyond reasonable control — including natural events, utility failures, regulatory changes, or health emergencies — may affect our ability to deliver services. We will communicate promptly and work with you to reschedule or adjust where possible.
11. Indemnification
You agree to hold us harmless from any claims, costs, or damages arising from your use of our services or outputs in a manner inconsistent with these terms, or from information you provided to us that was inaccurate or misleading.
12. Termination
Either party may end an ongoing engagement with written notice. For the Year-Ahead Companion, reasonable notice is 30 days. Upon termination:
- Work completed up to the termination date is payable in full.
- Unused portions of a prepaid multi-session engagement may be refunded on a pro-rata basis, at our discretion.
- Obligations relating to confidentiality and intellectual property survive termination.
We may also end an engagement immediately if you breach these terms in a material way and do not remedy the breach within 7 days of written notice.
13. Dispute Resolution
These terms are governed by the laws of Malaysia. Any dispute arising from them shall be subject to the jurisdiction of the courts of Malaysia.
Before pursuing formal proceedings, we encourage both parties to attempt an informal resolution by raising the concern in writing. We commit to responding within 10 working days and engaging in good faith discussion to find a workable solution.
If informal resolution is not reached within 30 days, either party may pursue mediation through the Malaysian Mediation Centre before initiating court proceedings.
14. General Provisions
- Entire Agreement: These terms, together with any written scope or proposal, form the full agreement between us for the relevant service.
- Severability: If any part of these terms is found to be unenforceable, the remainder continues in full effect.
- Waiver: Failure to enforce any provision on one occasion does not constitute a waiver of that provision going forward.
- Assignment: You may not assign your rights under these terms without our written consent. We may assign our obligations to a suitable professional successor with reasonable notice.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address. We will confirm receipt in writing.
15. Changes to These Terms
We may update these terms from time to time to reflect changes in our services or applicable law. When we do, the revised date at the top of this page will be updated. Continued engagement with us after an update constitutes acceptance of the revised terms. Material changes will be communicated to active clients by email where possible.
